Call for use of wiki to discuss Koha foundation
by vtl＠scls.lib.wi.us 18 Sep '10

We have been provided a place where data on a Koha association/foundation/organization can be gathered, organized and commented on. (Thanks to those who set this up.) I'm only repeating what others have said--the Koha list and the IRC are not the best places to work out the issues surrounding the establishment of an organization. Effectively, I'm calling for an end to this discussion on the list particularly since it has not always been civil and/or productive. http://wiki.koha-community.org/wiki/Category:Koha_Foundation I think that we all have the same goals here: - Establish a foundation/association/organization to oversee the Koha assets - Gather all of the assets together We should all be able to work together to make this happen. As for what a foundation could do, I think this page is a good start: http://wiki.koha-community.org/wiki/Koha_Software_Foundation -- Vicki Teal Lovely Helping our 52 member libraries provide the best possible service to the public. Please don't cause issues by confounding the issue with actions of past players. > what its rules are, community participants have asked after that > foundation and not got a useful answer, and so on and so on. As far as I know, no-one has proposed using this entity created by someone that isn't involved in this discussion, so whatever rules it has doesn't matter. Even, if someone does, the only rules that would matter are the ones that say how to change it. Besides, tis is an Ohio entity and not even recognized by the US government as a 501(c)3 or similar organization, so a lot of work would need to go into doing that. Registering in a state is one thing, getting through the United Satates' IRS is another. > What is the situation with that foundation and how can it be turned > over to the community? PTFS has already said they are looking into this. They may not even be the rightful controllers of it. Certainly the contact information is not theirs. > Does it have to be a 501(c)3? This is why we need proposals. Instead of e-mail of IRC.. Propose something else if you don't like this instead of complaining. > The US's charity law isn't all that great and its banking system > is awful. Why isn't the US non-profit law great (note that charity law and non-profit law are not the same although related)? All banking systems are horrible. Instead of lobbing acquisitions about US law, please point to specifics and make a proposal that can be responded to. > Could it be an association rather than a foundation? Again, this is why we need proposals. If this is what you think is best, please propose it with details why an association is better than a foundation. And what you mean be the difference as they can be the same thing legally in some jurisdictions. <...> Edward

subscription prediction setting the third variable..
by Reva Chandrasekaran 18 Sep '10

18 Sep '10

Hi all and anyone in the mailing list: I would like some help with setting up the third dimension variable in the subscription prediction advanced module. I am right now running Koha 3.0.6 Live CD install via VirtualBox. I was trying to do this with the following two examples: 1. Quarterly (4/yr.) title, and the subscription starts with Volume 1, Number 1, 2005. 2. 10/yr. title, and subscription starts with Vol.5, No.7, 2008. So this looks like Vol. {X}, No. {Y}, {Z} (say, Vol.2, No.3, 2006) It is not clear what values I have to set the "inner count" and "set back to" rows for the {Z} (i.e., the year). (No matter what combination of all these I tired for {Z}, it either messes up the other two columns or it fails to increment the year as it should.) There is an example in the FAQ but it does not work when I tried it exactly as it was shown. But there are no other examples anywhere else in the documentations with the {Z} filled in. Could someone help? Thanks, Reva -- Reva Chandrasekaran Returned Peace Corps Volunteer

LibLime responses to some of yesterdays postings
by John Yokley 18 Sep '10

18 Sep '10

LibLime is very encouraged at the amount of positive discussion that our post has generated and I will attempt to answer some of the questions that have been raised. We agree that Kohacon could be a very appropriate and productive forum to expand discussions on how to best set up a Koha Foundation. I would request that preliminary discussions start prior to that if possible, so that we would have a better sense of the agenda and the preparation required for Kohacon. Would it be possible to hold a meeting of some kind in the next few weeks? I will continue to be involved in the Koha Foundation process, but I have asked Amy DeGroff to be the LibLime spokesperson as the discussions evolve through the IRC and the list to make sure we do not miss any pertinent information/communications. Amy and Patrick Jones are key members of our LibLime staff that will also be supporting this process. LibLime has minimal preconceived mandates for the Koha Foundation except that it be a new formal non-profit organization that is only involved with Koha. We believe that US 501 (c)(3) laws are advantageous for non-profit corporations and that this type of a corporation would be very appropriate for the Koha Foundation. This fact was also referenced by another individual on the list yesterday. We will want to see typical governance documentation agreed upon and developed such as a Charter and Bylaws. LibLime, as one of multiple asset donors, will want to participate as an active and voting member of the Foundation. Finally, per a recent post, LibLime will contact the attorney of Metavore Inc., LibLime’s former corporate parent to see if the Koha 503C corporation created in 2009 will be transferred as a part of the LibLime asset purchase that PTFS made from Metivore Inc. in March of this year. This was not covered during the transaction. Best Regards John R. Yokley CEO LibLime Division of PTFS

Subject: Re: Message from PTFS/LibLime and 501-c-3 organizations
by Jim Minges 18 Sep '10

18 Sep '10

Hello, I am not promoting establishment of a Koha foundation under U.S. tax laws in preference to incorporation in some other country, but with respect I believe some of the concerns about use of the U.S. IRS 501-c-3 status are not entirely accurate. I have some experience in that area having established several 501-c-3 organizations including most recently a library foundation in 2009. While it certainly does take some time to gain that status the process is not inherently difficult, simply detailed and time consuming. The terms "public charity" and "private foundation" have particular meanings in tax law, primarily related to their sources of funding, but either is a fully tax-exempt organization. Probably the funding sources of a Koha organization would lead to its having the status of a private foundation. Any 501-c-3 is also incorporated in a U.S. state as a not for profit corporation, an extremely simple process. An association is really not a meaningful legal term, so a Koha Association could in fact be legally established as a foundation. The distinctions in governance and control that are of obvious concern would depend upon the bylaws and some details of the 501-c-3 application, rather than than either its name, or its legal status as a charity or foundation. I understand that there are connotations to words that might make the Koha community more comfortable with a particular name for the organization. That would present no obstacle to the 501-c-3 process. I repeat that I am not personally expressing any preference for the country in which the organization would be incorporated. I have confidence in the Koha community being able to come to a good decision on that in the process that seems to be underway. I agree with everything Jim says bellow, but especially the personally hostile attacks. I may not agree with everything all the parties involved have done, but continually attacking people and organizations, esp. when they have just reached out, isn't going to lead to them having better relations with your portion of the community. As they say, you can catch more flies with honey than with vinegar. However his specific proposal is just a starting point for discussion and I agree entirely with the suggestions for an entirely open discussion by all parties of approaches to a foundation or other umbrella Koha organization that will indeed not be dominated by any single company or organization. I encourage John or Patrick Jones to attend KohaCon as an ideal step toward open discussion. However, I am distressed by a few responses that seem personally hostile. We like to speak about the Koha "community." A community is better served through reasonable discussion and exchange of views and I would like to suggest that it will be more productive and professional to seek the high road in our postings to the list. Message from PTFS/LibLime
by John Yokley 17 Sep '10

17 Sep '10

There has been some concern expressed recently about PTFS/LibLime owning the registry entries for several domain names with the word Koha in them. I would like to address that and other issues. · In mid-March, of this year, PTFS announced the acquisition of LibLime from Metavore. · In April, LibLime attempted to communicate with Horowhenua Library Trust Koha Committee about taking over support for koha.org, but communications were not successful. · In May, LibLime released Harley as well as approximately 70 individual feature commits from LIBLIME customer-sponsored development and LIBLIME corporate-sponsored development. Harley was 3.0.x Koha with all of the 70 feature commits included. This gave potential Koha users the opportunity to either download Harley with the features, or select individual features for individual use. While 3.2 was nearing official release at that time, our customers who sponsored the development were pleased to see several of those features included in the 3.2 plans. · Throughout the remainder of the summer, LibLime has continued to develop sponsored features for customers under contracts acquired through the purchase of LibLime. I am saddened at the criticism directed at PTFS/LibLime and our employees on blog posts, listservs, and other electronic communication forums. Since Q3 2008, PTFS has been participating in the Koha community. This participation includes code submission, attendance and sponsorship at KohaCon 2009, active use of Bugzilla for new feature development, and IRC/Listserv contributions. We have expanded the worldwide use of Koha by bringing many new customers to the project, and we continue to promote the benefits of open source ILS solutions. We have released customer-sponsored and PTFS/LibLime-sponsored code for worldwide use, and we will continue to do so. In regards to the domain names, it is part of our standard operating procedures to purchase domain names in the business markets we are involved with and LibLime has acquired multiple domain names related to Koha and open source ILS. In addition, some of these names were also transferred over as a part of the LibLime acquisition. PTFS owns many domain names in all our lines of business. We did not try to hide this action and could have made these transactions private. Nothing has been done with the domain names at this point. They do not have web sites built around them, nor do they re-direct anywhere. They are simply owned by LibLime, thus preventing any non-Koha entity or competitor from acquiring the domains and diverting potential future Koha users to other ILS solutions. This is to the benefit of all Koha users and developers. LibLime would like to help the Koha community build a better Koha for the future. There is much to do to develop the application so that it can compete head to head with commercial solutions in all library markets. LibLime’s goal is to help make sure that Koha becomes the dominant open source ILS solution and not just another alternative. To ensure success, we believe that the Koha organization needs to grow into an organization that will globally unite all those involved with Koha. The project needs many companies, independent developers and Koha affiliated intuitions and customers worldwide to participate and work harmoniously together help build the world’s best open source ILS. The HLT Koha Committee was established as holding body for the Koha project property. We believe that it is now time to move to the next step and create a full-fledged governance structure capable of supporting Koha as a rapidly expanding global open source endeavor. In this regards, LibLime will help organize and fund the creation of a Koha Software Foundation as a 501(c)3 non-profit corporation. Once the establishment of the Koha Software Foundation is complete, PTFS/LibLime will transfer the assets we own related to Koha to this corporation, including Koha related domain names as well as pending trademark applications. LibLime officially requests that interested parties contact us who are interested in helping to create and manage this foundation. We would welcome and hope that multiple worldwide groups will all participate together. Initially, LibLime will help to fund the development of articles, bylaws and governance documents and help the foundation to become a self supporting organization. LibLime does not aim to dominate or control the foundation; we will expect to participate as any qualified organization and as a voting member. We believe that the establishment of an independent foundation will provide the structure for ongoing management and governance of the Koha project and should provide the basis for a less divisive atmosphere surrounding the efforts of all the stakeholders involved, including the companies involved in development and support services as well as the libraries and consortium that rely on Koha. Our decisions on how LibLime will continue to proceed in the Koha project will continue to be based upon communications we receive, proposals to support the Koha Foundation and acceptance of our organization as a viable part of the community to help Koha become the world’s best ILS. Best regards: John Yokley CEO PTFS/LibLime
