Below are the KUDOS meeting minutes from today's board meeting.  They will be posted to kudos.koha.org shortly, but I wanted to be sure everyone had a chance to look them over.

I hope this clears up some of the questions about where KUDOS is going and how we hope to get there.  If there are any ambiguities, please let us know, and we'll do our best to clarify.

Kudos Board meeting #2
February 4, 2010

Present: John Brice (President), Ian Walls (Vice President), David Schuster (Treasurer), Vicki Teal Lovely (Secretary)


 1.  501c3 filing. John has paperwork ready to go, just needs to be typed up.  Vicki will post the ALA KUDOS minutes in Google docs. John will update mission statement with version approved at ALA.
 2.  Bylaws
    *   Conflict of Interest Policy was approved at ALA summer, 2009
    *   Mission statement approved at ALAMW10: "The purposes of the Corporation are educational, literary, and scientific, specifically: to promote the study, improvement and support of the Koha Integrated Library System for the benefit of North American libraries and to foster cooperation with the global Koha community."
    *   Membership statement approved at ALAMW10 will stand as is: "Membership should be for an institution in North America with an installation of Koha."
    *   Dues Structure
Single Library $100 - 1 vote
Consortium $500 - 5 votes (at least 5 libraries or institutions working together)
Vendor $100 - 1 vote
Individual $100 - 1 vote - requires sponsorship from two library, consortia or vendor members since they do note meet the membership definition. At least one sponsor must be a library or consortium member.

 1.  Vendors serving on board.  For now, we will not create a policy for this. The consensus is that we are comfortable with up to two vendors serving on the board, perhaps as member at large.  All agree it would not be appropriate for vendor to serve as an officer (President, Vice President, Treasurer, Secretary).  However, we will not create a policy until the organization is up and running.  When we are ready, the following may serve as a draft policy statement:

Vendor representatives/individual developers are eligible to be nominated and elected to the board.  Vendor representatives can only hold at large positions and can vote on board actions with the exception of matters dealing with issues detailed in the conflict of interest policy. They must recuse themselves when the board deals with such issues. There is no requirement for a vendor to be on the board.


 1.  Membership for individuals.  Ian proposed that individuals could be sponsored by a member.  Individuals could be eligible to serve on the board if they had a second sponsor. The dues structure above was modified to accommodate this category.
 2.  Virtual Conference with regional gathering. David proposed that we hold a virtual conference in late April or early May.  People could gather regionally for an in person meeting in conjunction with the regional conference.  Proposed dates are 4/28 & 4/29 and 5/6 & 5/7.  We will poll Koha users regarding dates, potential regional hosts, and topics.  This could be open to anyone in the world.  Proposed time for conference is 9-3 so that regional groups have time for meeting. One or two day length depends on content.  Potential web hosting options are elluminate and Go To Meeting/Webinar.
 3.  Tabled: Services to members.
