As this is certainly not a new "problem," it seems to me that the thing to
do here is to obtain the advice of a lawyer or CPA.

I'm confident that many groups have dealt with this many times and there is
little reason to agonize over the issue long.

It may be that SFLC (http://www.softwarefreedom.org/) may be able to provide
such advice.
